These Terms & Conditions ("Terms") govern your use of https://withbrightcode.com (the "Website") and set out the general framework for engaging Brightcode Technologies ("Brightcode", "we", "us" or "our") for digital development, design, marketing, hosting and related services.

Agreement to these Terms
By accessing or using the Website, submitting a form, or engaging us for services, you agree to these Terms. If you do not agree, do not use the Website or our services.
If you enter into a separate proposal, statement of work, master services agreement or contract ("Project Agreement") with us, that Project Agreement governs the specific project. Where a Project Agreement conflicts with these Terms, the Project Agreement prevails for that project.
Website use
You may use the Website for lawful purposes only. You must not attempt to gain unauthorised access to our systems or data; interfere with the Website's operation or security; scrape, harvest or automate access in a way that imposes unreasonable load; upload malicious code; misrepresent your identity; or use the Website in violation of applicable law.
We may suspend or restrict access to the Website at any time for maintenance, security or other operational reasons without notice.
Content on the Website (text, graphics, logos, case studies and layout) is owned by or licensed to Brightcode Technologies unless stated otherwise. You may not copy, reproduce or distribute Website content for commercial purposes without our prior written consent, except for personal, non-commercial reference or as permitted by law.
Enquiries and forms
When you submit a contact form, audit request or other enquiry, you confirm that the information you provide is accurate to the best of your knowledge. Submitting a form does not create a binding contract; it is an invitation for us to respond and, where appropriate, propose scope and fees.

Services
We provide services including website development, e-commerce development, custom web applications, software and API development, UI/UX design, SEO and performance optimisation, marketing and advertising, managed hosting and care, and platform migration, as described on the Website and in agreed Project Agreements.
Service descriptions on the Website are general in nature. Specific deliverables, timelines, fees, payment terms, revision rounds, hosting responsibilities and acceptance criteria are defined only in a signed or written Project Agreement.
Client responsibilities typically include timely feedback and approvals, provision of content, brand assets and access (hosting, domains, ad accounts, analytics) required for delivery, and compliance with applicable laws for content and campaigns you supply or approve.
Fees and payment
Fees, deposits, milestones and payment methods are set out in the relevant Project Agreement. Unless otherwise agreed, invoices are payable within the stated period. Late payment may pause work or incur interest or recovery costs as specified in the Project Agreement.
Third-party costs (domain registration, hosting, stock assets, ad spend, software licences and similar) are typically billed separately or reimbursed by the client unless explicitly included in scope.
Intellectual property
Unless the Project Agreement states otherwise, upon full payment of agreed fees, the client receives ownership or a licence to use deliverables created specifically for the project, excluding our pre-existing tools, frameworks, templates, methodologies and general know-how.
We may display completed work in our portfolio, case studies and marketing materials unless the Project Agreement restricts this or the client requests otherwise in writing before public use.
The client warrants that materials they provide (copy, images, logos, data) do not infringe third-party rights and that they have authority to use and license them to us for the project.
Warranties and disclaimers
We perform services with reasonable skill and care in line with industry standards and the agreed scope. Except as expressly stated in a Project Agreement, services and the Website are provided "as is" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose or non-infringement.
We do not guarantee specific business outcomes (for example, search rankings, ad ROI or revenue) unless explicitly guaranteed in writing. Digital marketing and SEO results depend on many factors outside our control.
Limitation of liability
To the fullest extent permitted by applicable law, Brightcode Technologies shall not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising from use of the Website or our services.
Our total aggregate liability for any claim arising from or related to the Website or services under these Terms shall not exceed the fees paid by you to us for the specific project giving rise to the claim in the twelve (12) months preceding the claim, or, for Website-only use with no paid project, one hundred United States dollars (USD 100) or the equivalent in local currency.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including liability for fraud or wilful misconduct where applicable).
Indemnity
You agree to indemnify and hold Brightcode Technologies harmless from claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, your Project Agreement, content or materials you supply, or your use of deliverables in violation of law or third-party rights, except to the extent caused by our negligence or breach.
Termination
Either party may terminate a Project Agreement as set out in that agreement. We may terminate or suspend Website access or services immediately if you breach these Terms or a Project Agreement, or if continued provision would expose us to legal or security risk.
Provisions that by nature should survive termination (including payment obligations, intellectual property, confidentiality, limitation of liability and governing law) continue in effect.
Confidentiality
Each party may receive confidential information from the other during an engagement. Both parties agree to use such information only for the purpose of the project and not to disclose it to third parties except as required for delivery (for example, subcontractors under confidentiality obligations) or as required by law.
Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts in Delhi NCR, India shall have exclusive jurisdiction over disputes arising from these Terms or use of the Website, subject to any different jurisdiction specified in a Project Agreement.

Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page shows when they were last revised. Continued use of the Website after changes constitutes acceptance of the updated Terms, where permitted by law. Material changes to active Project Agreements require agreement between the parties.
